Terms of Service

Welcome to Codeatrix. These Terms of Service ("Terms") govern your use of the Codeatrix website (codeatrix.digital) and the development, design, and consulting services provided by Codeatrix ("we," "us," or "our"). By engaging our services or using our website, you ("Client," "you") agree to these Terms.

1. Scope of Services

Codeatrix provides digital services including, but not limited to, web development, e-commerce solutions, mobile app development (React Native/Expo), SaaS & AI products, automation, backend integrations, UI/ UX branding, and ongoing maintenance.

The specific deliverables, features, timelines, and milestones for your project will be strictly defined in a written brief, proposal, or statement of work ("Scope of Work" or "SOW") prior to the commencement of any development.

2. Project Execution & Transparency

• Fixed Scope: We operate on fixed, written scopes to eliminate guesswork. Any additions or modifications requested outside the agreed-upon SOW will be subject to a separate estimation and agreement (Change Request).
• Design Approval: Custom design drafts will be provided for review. Development will only commence upon your formal approval of these designs.
• Progress Updates: Codeatrix commits to transparent development, providing periodic updates (typically weekly) and live staging links for your review.

3. Payment Terms & Pricing

We pride ourselves on providing fixed pricing with no surprise bills for agreed-upon scopes. Payments are generally structured around project milestones, as defined in your specific SOW.

• A standard deposit is required before any design or development work begins.
• Subsequent payments are tied to clear deliverables (e.g., design approval, staging launch, final launch).
• Final deployment and the handover of source code and assets are contingent upon the receipt of final payment in full.

4. Intellectual Property & Source Code Handover

One of our core manifestos is "full source, no lock-in."

• Client Ownership: Upon receipt of full and final payment for the project, all final deliverables, including custom source code, design assets, and tailored digital products, become the exclusive property of the Client.
• Codeatrix Rights: We retain the right to showcase the completed work in our portfolio (such as codeatrix.digital) and marketing materials unless a non-disclosure agreement (NDA) explicitly prohibits this. We also retain ownership of pre-existing, proprietary libraries, or open-source frameworks used, granting you a perpetual, royalty-free license to use them as integrated into your final product.

5. Client Responsibilities

To ensure project timelines are met, the Client agrees to:

• Provide required assets, content (text, images, logos), and third-party account credentials in a timely manner.
• Review staging links and provide consolidated feedback within the timeframes agreed upon in the SOW.
• Understand that delays in feedback or content delivery may result in adjusted project timelines.

6. Support & Maintenance

Post-launch support depends on your chosen package:

• Warranty Period: We typically provide a standard bug-fix period (defined in your contract) immediately following the launch to resolve any issues directly related to the original scope of work.
• Retainers: For ongoing feature updates, hosting management, and continuous maintenance, Clients must opt into a monthly retainer plan.

7. Limitation of Liability

Codeatrix strives to build secure, high-quality digital products. However, we cannot guarantee that our software will be completely error-free or immune to third-party disruptions (e.g., server outages, API changes by third parties like Firebase or Razorpay). Codeatrix shall not be liable for any indirect, incidental, or consequential damages, loss of profits, or data loss arising from the use of the delivered digital products.

8. Third-Party Services

Projects often integrate third-party tools (e.g., WhatsApp APIs, payment gateways like Razorpay/PayPal, hosting providers). Codeatrix is not responsible for the terms, policies, or performance of these third party services. Clients are responsible for any fees charged directly by these third-party vendors.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in India.
